Welcome to The Showbill.
These Terms of Use ("Terms") govern your access to and use of The Showbill mobile application, website, marketplace, directories, event listings, and related products and services (collectively, the "Platform").
By creating an account, accessing, browsing, purchasing a subscription through, posting content to, or otherwise using The Showbill, you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, you should not use The Showbill.
1. About The Showbill
The Showbill is an equine-focused information and discovery platform designed to connect horse owners, competitors, spectators, event organizers, promoters, businesses, service providers, buyers, sellers, and others within the equine community.
The Platform may provide features including:
Equine event calendars and listings;
Event searches by location, distance, date, category, or other criteria;
Event bookmarking and saved events;
Event organizer and promoter listings;
Marketplace listings for equine and horse-related items;
Equine service-provider directories;
Location-based searches for equine services;
Links to third-party websites, registration pages, social media accounts, and other resources;
Paid or premium features;
Notifications and personalized features; and
Other equine-related features added from time to time.
The availability of individual features may vary and may change as The Showbill develops.
2. Eligibility and Accounts
Certain portions of The Showbill may be viewed without an account. Other features may require registration.
You agree to provide accurate, current, and complete information when creating and maintaining an account.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.
You may not impersonate another person or business, create an account using false information, or use another person's account without authorization.
The Showbill reserves the right to suspend, restrict, or terminate accounts that violate these Terms, applicable law, or Platform policies.
3. Event Listings
Event organizers, promoters, businesses, and other authorized users may submit equine events for publication on The Showbill.
Event information may include dates, times, locations, entry information, contact information, websites, registration links, social media links, photographs, flyers, rules, schedules, and other information supplied by the person or organization creating the listing.
The person submitting an event is responsible for the accuracy and legality of the information provided.
The Showbill does not independently guarantee or warrant the accuracy of event listings.
Events may be changed, postponed, relocated, canceled, or otherwise modified after being listed. Users should verify important event information directly with the event organizer before traveling, entering an event, making reservations, paying entry fees, or incurring expenses.
The Showbill is not responsible for losses or expenses resulting from canceled, postponed, inaccurate, fraudulent, or modified events.
4. Organizer and Promoter Responsibility
By submitting an event, an organizer or promoter represents that they have the authority to publish the event and any associated content.
Organizers and promoters are responsible for maintaining accurate information and updating their listings when circumstances change.
Submitting an event to The Showbill does not create a partnership, agency relationship, sponsorship, endorsement, or other business relationship between the organizer and The Showbill unless expressly agreed to separately in writing.
The Showbill may edit formatting, categorize, decline, suspend, or remove listings when reasonably necessary to operate the Platform, enforce these Terms, protect users, or comply with law.
5. Marketplace
The Showbill may provide a Marketplace through which users can advertise equine-related goods, equipment, property, animals, or other permitted items.
Unless expressly stated otherwise for a particular service, The Showbill provides the listing platform only and is not the buyer, seller, dealer, broker, auctioneer, agent, or party to a transaction between users.
Buyers and sellers are responsible for their own communications, negotiations, inspections, payments, transportation, delivery, documentation, taxes, and transactions.
The Showbill does not guarantee:
The identity of a buyer or seller;
Ownership of an advertised item;
The accuracy of a listing;
The condition, quality, safety, authenticity, health, suitability, legality, or value of an item;
That a buyer will pay;
That a seller will deliver;
That an item remains available; or
That a transaction will be completed.
Users should exercise appropriate caution and independently verify listings before exchanging money, property, personal information, or entering into an agreement.
6. Animals and Equine Listings
If horses or other animals are permitted to be listed through the Marketplace, sellers are solely responsible for accurately representing the animal and complying with applicable laws and regulations.
The Showbill does not guarantee or warrant an animal's health, soundness, temperament, training, performance history, registration, breeding status, suitability, ownership, or fitness for a particular purpose.
Potential buyers are responsible for performing whatever inspections, veterinary examinations, documentation reviews, or other due diligence they consider appropriate before purchasing an animal.
The Showbill is not a party to any sale or transfer of an animal conducted between users unless expressly stated otherwise.
7. Service Provider Directory
The Showbill may allow users to locate equine-related businesses and service providers by location or category.
Examples may include veterinarians, farriers, horse hotels, boarding facilities, trainers, transportation providers, repair services, feed and tack businesses, and other equine-related services.
A listing on The Showbill does not constitute an endorsement, recommendation, certification, or guarantee of a service provider.
Unless specifically stated otherwise, The Showbill does not independently verify a provider's licensing, insurance, qualifications, certifications, availability, pricing, reputation, or quality of service.
Users are responsible for evaluating a provider before hiring or relying upon that provider.
8. Veterinary and Emergency Information
The Showbill is not a veterinary service, emergency service, or medical provider.
Location-based searches and service-provider listings are informational tools only.
The Showbill does not guarantee that a veterinarian, emergency provider, horse hotel, boarding facility, transportation provider, or other service shown in search results is currently available or able to provide the services needed.
In an emergency, users should contact an appropriate veterinarian or emergency service directly.
9. Location-Based Services
The Showbill may use a location supplied by you or, with appropriate device permission, location information from your device to provide nearby event, marketplace, business, or service-provider results.
Search distances and locations are estimates and should not be relied upon for emergency navigation, exact property boundaries, or other purposes requiring precise geographic information.
You may control device location permissions through your device settings. Certain location-based features may not function properly when location access is disabled.
10. User-Generated Content
Users may be permitted to submit event information, Marketplace listings, photographs, graphics, flyers, business information, descriptions, links, reviews, comments, or other content ("User Content").
You retain ownership of content you own.
By submitting User Content to The Showbill, you grant The Showbill a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, distribute, and use that content as reasonably necessary to operate, promote, improve, and market The Showbill and the listing or service to which the content relates.
You represent that you own the content you submit or have permission to use and publish it.
You may not submit content that infringes another person's copyright, trademark, privacy, publicity, or other legal rights.
11. Prohibited Content and Conduct
Users may not use The Showbill to:
Post knowingly false, fraudulent, deceptive, or materially misleading information;
Commit or facilitate fraud or scams;
Impersonate another person or business;
Harass, threaten, intimidate, or abuse another person;
Post unlawful, obscene, hateful, or seriously offensive content;
Sell stolen, counterfeit, illegal, prohibited, or unlawfully obtained property;
Violate intellectual-property rights;
Collect or misuse another user's personal information;
Introduce malware or malicious code;
Attempt unauthorized access to the Platform or another user's account;
Interfere with Platform security or operation;
Circumvent fees or technical restrictions;
Manipulate search results or Platform features;
Use automated systems to scrape or harvest Platform data without permission;
Send unauthorized spam or mass solicitations; or
Use The Showbill for unlawful purposes.
The Showbill may remove content, restrict features, suspend listings, or terminate accounts when we reasonably believe these Terms or applicable laws have been violated.
12. Reporting Users, Listings, and Content
Users may report listings, content, or conduct they believe violates these Terms or Platform policies.
The Showbill may investigate reports and take action it considers appropriate, including removing content, restricting functionality, suspending accounts, or terminating access.
We are not obligated to resolve private disputes between users.
Abuse of reporting systems, including intentionally false or malicious reports, may itself result in account restrictions.
13. Paid Features and Subscriptions
The Showbill may offer free and paid features.
Paid features may include bookmarking, enhanced event tools, premium listings, promotional placement, business or organizer features, or other services.
Pricing, subscription duration, included features, renewal terms, and applicable payment information will be presented before purchase.
Where a subscription is purchased through Apple App Store or Google Play, billing, renewal, cancellation, and refunds may also be governed by the applicable store's terms and account-management procedures.
Where permitted and where purchases are offered directly by The Showbill, separate checkout terms may apply.
Subscription features and pricing may change. Material changes will be communicated as required by applicable law.
Canceling a subscription stops future renewal but does not necessarily delete your Showbill account.
14. Featured, Sponsored, and Promoted Listings
The Showbill may offer paid featured listings, sponsored placements, advertisements, or other promotional opportunities.
Payment for enhanced visibility does not constitute an endorsement or guarantee by The Showbill.
Sponsored or promotional content may be identified as appropriate.
The Showbill does not guarantee any particular number of views, clicks, entries, inquiries, customers, sales, or other results from paid promotion unless expressly agreed otherwise in writing.
15. Third-Party Websites and Services
The Showbill may contain links to event websites, registration systems, social media platforms, maps, payment providers, businesses, service providers, or other third-party resources.
Those services are controlled by third parties and may have their own terms and privacy practices.
The Showbill is not responsible for third-party websites, content, availability, transactions, security, policies, or practices.
16. Intellectual Property
The Showbill name, logos, branding, Platform design, original text, graphics, software, databases, and other proprietary materials are owned by The Showbill or its licensors and are protected by applicable intellectual-property laws.
These Terms do not grant users ownership of The Showbill's intellectual property.
Users may not copy, reproduce, republish, sell, distribute, reverse engineer, or commercially exploit proprietary Platform materials except as permitted by law or with prior written authorization.
17. Copyright and Intellectual-Property Complaints
If you believe content appearing on The Showbill infringes your intellectual-property rights, you may contact The Showbill and identify the content, the rights you believe have been infringed, and sufficient information for us to evaluate the request.
The Showbill may remove allegedly infringing content and may restrict or terminate accounts of repeat infringers when appropriate.
18. Account Deletion
Users who create a Showbill account may request deletion of their account and associated personal data through the account-deletion method provided by The Showbill.
Account deletion may permanently remove account information, saved events, listings, and other data associated with the account.
Certain information may be retained when reasonably necessary or legally required, including for fraud prevention, security, transaction records, dispute resolution, enforcement of these Terms, or compliance with applicable law.
Canceling a paid subscription and deleting a Showbill account are separate actions. Users should cancel any applicable recurring subscription through the appropriate billing provider when necessary.
19. Privacy
Use of The Showbill is also governed by our Privacy Policy, which describes how personal information is collected, used, disclosed, retained, and protected.
By using the Platform, you acknowledge that you have had an opportunity to review the Privacy Policy.
20. Platform Availability and Changes
The Showbill is continually developing.
We may add, modify, suspend, discontinue, or change Platform features from time to time.
We do not guarantee that every feature will always be available or that the Platform will operate without interruptions, delays, errors, or technical problems.
We may perform maintenance or make changes without advance notice when reasonably necessary.
21. No Warranty
To the fullest extent permitted by applicable law, The Showbill is provided on an "as is" and "as available" basis.
We do not warrant that:
All information will be accurate or complete;
Every event will occur as advertised;
Every Marketplace listing will be legitimate;
Every service provider will be available or qualified;
The Platform will be uninterrupted or error-free; or
Use of the Platform will produce any particular result.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
22. Limitation of Liability
To the fullest extent permitted by applicable law, The Showbill and its owners, officers, employees, contractors, affiliates, and representatives will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of the Platform.
This includes, without limitation, losses associated with:
Event cancellations or changes;
Travel or lodging expenses;
Marketplace transactions;
Buyer or seller conduct;
Animals purchased or sold through user listings;
Service providers;
Injuries or property damage;
User-generated content;
Third-party websites or services;
Loss of data; or
Platform interruptions.
Nothing in these Terms limits liability where such limitation is prohibited by law.
23. Assumption of Risk
Equine activities involve inherent risks.
The Showbill provides information and connections but does not organize, supervise, control, or assume responsibility for independently operated equine events or activities merely because they appear on the Platform.
Participation in an event or equine activity is a decision between the user and the applicable organizer, facility, provider, or other parties.
Users are responsible for evaluating risks and taking appropriate safety precautions.
24. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless The Showbill and its owners, affiliates, employees, contractors, and representatives from claims, liabilities, damages, losses, and reasonable expenses arising from:
Your User Content;
Your violation of these Terms;
Your violation of another person's rights;
Your Marketplace transactions;
Your business or service-provider activities; or
Your unlawful or improper use of the Platform.
25. Suspension and Termination
The Showbill may suspend or terminate access to some or all Platform features if a user materially violates these Terms, poses a security risk, engages in fraudulent or unlawful conduct, or misuses the Platform.
Where appropriate, we may remove offending content without terminating the entire account.
Users may stop using The Showbill at any time and may request account deletion as described above.
26. Changes to These Terms
We may update these Terms as The Showbill changes or as legal, regulatory, business, or Platform requirements evolve.
The updated Terms will display a revised "Last Updated" date.
When required by applicable law, we will provide additional notice or request renewed consent before material changes take effect.
Continued use of The Showbill after revised Terms become effective constitutes acceptance of those Terms to the extent permitted by law.
27. Governing Law
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
Any dispute will be subject to applicable law and any dispute-resolution provisions that The Showbill may lawfully establish.
28. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
29. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms presented for particular paid products or services, constitute the agreement between you and The Showbill concerning use of the Platform.
